Can our startup issue ESOPs to consultants, not just employees?
JG
No — under Section 62(1)(b) of the Companies Act, 2013 read with Rule 12 of the Companies (Share Capital and Debentures) Rules, 2014, ESOPs can be granted only to permanent employees, directors, or employees of subsidiaries 1 2.
For consultants, consider Sweat Equity Shares (Section 54) or a SAR/Phantom Stock plan, neither of which require employment status.

§ 04Benchmarks

Measured, not marketed.

Every number below comes from a 120-query benchmark over 47,867 Indian legal documents, with queries verified independently by three annotators (Fleiss' κ = 0.81) — and with the corpus, scripts, and per-query results shipped in the repository, so anyone can re-run them. We did, and they reproduce.

FIG. 1 — RETRIEVAL QUALITY
How high the right source ranks

Mean reciprocal rank across five retrieval configurations. Higher is better.

Hybrid BM25 — what JurisGPT runsDEPLOYED0.953
Dense embeddings0.925
Lexical baseline0.888
Hybrid + generic reranker0.864
Dense + generic reranker0.758

The study's core finding: bolting on a generic reranker lowers ranking quality by 8.7–16.3 nDCG@5 points (p < 1e-4) and costs 17× the retrieval latency. So JurisGPT doesn't use one.

FIG. 2 — HALLUCINATION AUDIT
Answers with unsupported legal claims

Every claim in every answer checked against its cited sources (40-query audit). Lower is better. We report two rates: any claim we could not trace, and the narrower case of inventing authority outright.

Generic AI chatbots58–82%
Commercial legal AI tools17–33%
JurisGPT — unsupported claimAUDITED32.5%
JurisGPT — invented authorityAUDITED2.5%

Industry ranges: Stanford studies of legal AI (2024), measured under different protocols — treat the comparison as indicative, not head-to-head. JurisGPT: claim-level audit of the deployed pipeline by an LLM judge, on 40 queries. One answer in forty cited authority that does not exist.

§ 05Principles

What we'll never compromise on.

We are early — these are the commitments the system is built around, not customer quotes pulled from a focus group.

§ 01
Cite or refuse.

Every answer carries inline citations to the exact statute, section, or judgment. When the corpus is thin, JurisGPT marks the answer as low-confidence rather than guessing.

§ 02
Indian law, primary sources.

The retrieval corpus is built from Indian statutes, RBI/SEBI/MCA circulars, and judgments — not generic web text. No US precedent leaks into Indian compliance answers.

§ 03
Your data, your control.

Documents and queries are encrypted at rest and in transit. We never use your data to train models. DPDP Act 2023-aligned by design.

§ 06FAQ

Common questions.

No. JurisGPT is a research and drafting assistant, not legal advice. For critical decisions, consult a qualified lawyer. Think of it as a research associate that never sleeps.
